These Terms of Use (the 'Terms') govern your access to and use of the ClinicFlo platform, websites and related services (collectively, the 'Service') operated by ClinicFlo ('ClinicFlo', 'we', 'us' or 'our'). By creating an account or using the Service, you agree to these Terms.

If you are entering into these Terms on behalf of a clinic or organization, you represent that you have the authority to bind that organization, and 'you' refers to that organization.

1. Acceptance of Terms

By accessing or using the Service you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Service.

We may require you to agree to additional terms for specific features; where there is a conflict, the additional terms prevail for those features.

2. The Service

ClinicFlo is a multi-tenant clinic management platform that helps clinics manage patients, appointments, billing, staff and related operations.

The Service is provided on a software-as-a-service basis and may evolve over time as we add, change or remove features.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

4. Your Responsibilities

You are responsible for the accuracy and lawfulness of the data you and your staff enter, including obtaining any patient consents required by applicable law.

You must ensure that each member of your staff uses their own account and that access rights reflect their role.

5. Acceptable Use

You agree not to misuse the Service, including by attempting to gain unauthorized access, interfering with its operation, reverse engineering it, or using it to store or transmit unlawful, infringing or harmful content.

You may not use the Service to build a competing product or to exceed the limits of your subscription plan.

6. Patient Data and Privacy

Patient and other personal data you process through the Service is handled in accordance with our Privacy Policy and any Data Processing Agreement between us.

As between the parties, you are the controller of the patient data you upload, and ClinicFlo acts as your processor, processing it only on your documented instructions.

7. Subscriptions, Billing and Payments

Paid plans are billed in advance on a recurring basis according to the plan you select. Fees are non-refundable except where required by law.

If a payment fails or your account is past due, we may suspend or limit access to the Service after reasonable notice.

8. Intellectual Property

The Service, including its software, design and content (excluding your data), is owned by ClinicFlo and its licensors and is protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription. You retain all rights to your data.

9. Confidentiality

Each party may receive confidential information from the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms.

10. Service Availability and Support

We aim to keep the Service available and to provide support consistent with your plan, but we do not guarantee uninterrupted or error-free operation.

We may perform maintenance that temporarily affects availability and will seek to minimize disruption.

11. Disclaimers

The Service is provided 'as is' and 'as available' without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

ClinicFlo is a software tool and does not provide medical, legal or professional advice. Clinical decisions remain the sole responsibility of licensed practitioners.

12. Limitation of Liability

To the maximum extent permitted by law, ClinicFlo will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, data or goodwill.

Our total liability arising out of or relating to the Service will not exceed the amounts you paid to us in the twelve months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold ClinicFlo harmless from claims arising out of your data, your use of the Service in breach of these Terms, or your violation of applicable law or third-party rights.

14. Term and Termination

These Terms apply while you use the Service. You may stop using the Service at any time, and either party may terminate as described in your plan or order.

Upon termination we will make your data available for export for a limited period, after which it may be deleted in line with our retention practices.

15. Governing Law and Disputes

These Terms are governed by the laws of the Hashemite Kingdom of Jordan, without regard to its conflict-of-laws rules.

The courts of Amman, Jordan will have jurisdiction over any dispute, unless a separate written agreement specifies otherwise.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes we will provide notice through the Service or by email. Continued use after the changes take effect constitutes acceptance.
